Embassy Priority – Terms & Conditions

These Terms govern membership in and participation in Embassy Priority, including repeat-purchase benefits, customer-referral rewards, lifestyle rewards, offers and events. Please read them together with the Embassy Privacy Policy and any project-, offer-, reward- or merchant-specific terms displayed at the relevant point of participation or redemption.

By enrolling in or participating in Embassy Priority, including through its website, application or related channels, you confirm that you have read and accepted these Terms. If you do not agree, please do not participate in the Programme.

1. About Embassy Priority

Embassy Priority (the “Programme”) is a customer loyalty and engagement programme owned and administered by Embassy Developments Limited (“EDL”, “Embassy”, “we”, “us” or “our”) for eligible Embassy homeowners (“Member”, “you” or “your”).

Members may engage with the Programme through the Embassy Priority website, application, Loyalty Manager and other authorised communication channels to explore Embassy projects, submit repeat-purchase enquiries, refer prospective customers, receive eligible loyalty and referral benefits, access curated events and offers, and use the lifestyle Reward Store.

2. Definitions
  • Applicable Financial Year or FY means the financial year beginning on 1 April and ending on 31 March.
  • Channel Partner or CP means any external real-estate intermediary, broker, agent or channel partner involved, directly or indirectly, in sourcing, introducing, influencing or facilitating a customer transaction.
  • Eligible Repurchase means a new purchase by an eligible Member that satisfies Section 6 and all applicable validation requirements.
  • Member means an existing customer who has successfully purchased and registered at least one residential property with EDL and is recognised under Embassy Priority.
  • Property Value means the aggregate of (Base Price × Saleable Area of the property) plus applicable car-park charges, if any, as reflected in the registered Sale Agreement, including any amendment, supplementary agreement or other document subsequently accepted by EDL in relation to such transaction. Statutory taxes, deposits, maintenance, utility, club, registration and other additional charges are excluded unless EDL expressly confirms otherwise in writing.
  • Referral means the introduction by a Member of a prospective customer through an Embassy-approved referral channel before or at the time of lead introduction.
  • Successful Referral means a Referral that is validated by EDL, results in an eligible purchase, and satisfies the payment, execution and registration conditions in these Terms.
  • Lifestyle Rewards means points, reward codes, reward links, vouchers, gift cards, offers or other catalogue benefits made available through the Programme from time to time.
  • Xoxoday means Xoxoday/Plum, operated by Nreach Online Services Private Limited, acting as an authorised reward-technology and fulfilment service provider for the Lifestyle Reward Store.
3. Membership Eligibility and Access
  • Programme membership and benefits are available only to Members validated against EDL’s records. Viewing the public website or other Programme communication does not by itself create membership or benefit eligibility.
  • For an Eligible Repurchase, the primary and/or secondary applicant in the new purchase must be the same individual reflected in the Member’s earlier registered EDL transaction.
  • Membership is personal, non-transferable and subject to successful mobile-number/account verification. EDL may request information or documents reasonably required to verify identity, ownership, eligibility or a transaction.
  • You are responsible for maintaining the confidentiality of your login credentials and OTPs and for notifying EDL promptly of suspected unauthorised use.
  • EDL may suspend or restrict access where reasonably necessary to protect the Programme, investigate misuse, comply with law or resolve an eligibility issue.
  • EDL reserves the right to refuse, suspend or terminate membership where the eligibility criteria are not satisfied or where participation may expose EDL to legal, regulatory, commercial or reputational risk.
4. Applicable Projects
  • The repeat-purchase and referral structure applies to ongoing and future residential projects under EDL across India, subject to project availability, applicable law and any project-specific conditions notified by EDL. EDL may designate eligible or excluded projects under the Programme from time to time at its sole discretion. 
  • The benefits described in these Terms remain subject to the applicable eligibility, transaction and Programme conditions and may be amended prospectively in accordance with Section 17.
  • Benefits cannot be combined with a transaction involving a CP or with another offer where the applicable project terms expressly prohibit combination.
5. Customer Referral Rewards

Eligible Successful Referrals completed within the same FY earn a reward calculated on the Property Value of the referred customer’s property as follows:

  • The referral count resets at the beginning of each FY. Slab eligibility is prospective: a later slab does not retrospectively increase the rate applicable to an earlier Successful Referral.
  • A Referral must be submitted through an Embassy-approved mechanism with accurate details before or at the time the prospective customer is introduced.
  • A person already recorded at the time of introduction as an active lead, existing customer or prior referral is not eligible as a new Referral under this structure.
  • The Member must have the referred person’s permission to share their contact details with Embassy. The Member must not submit misleading, unsolicited, bulk or unlawful referrals.
  • EDL will validate the referral timestamp, duplication, source, Member status and referral linkage. EDL’s records will be the primary record for validation, subject to correction of demonstrable error.
  • Any customer transaction involving a CP, whether partly or fully, is ineligible for a Programme referral reward.
  • EDL’s decision regarding referral eligibility, validation and reward entitlement shall be final, except in case of an obvious error. 
6. Repeat-Purchase / Loyalty Benefit
  • An eligible Member will receive a flat benefit equal to 2% of the Property Value of the new property purchased.
  • The benefit applies only after EDL validates the Member and the new purchase against the eligibility requirements in these Terms.
  • A customer transaction involving a CP, whether partly or fully, is ineligible for the repeat-purchase benefit.
  • The repeat-purchase benefit may be adjusted in the cost sheet as a separately identified “Embassy Priority – Loyalty Benefit” or “Loyalty Discount”. If a monetary payout is used instead, it will be processed only through an EDL-approved, legally compliant payout mechanism. The applicable mode will be confirmed for the transaction. The choice between a cost sheet adjustment and a monetary payout will be at EDL’s sole discretion. 
7. When a Referral or Repurchase Benefit Becomes Payable
  • Percentage benefits are calculated on the Property Value stated in the registered Sale Agreement.
  • A benefit becomes payable or finally adjustable only after EDL has received the full agreement value and the Sale Agreement has been successfully executed and registered, unless EDL expressly confirms an earlier cost-sheet adjustment in writing.
  • All calculations and payments are subject to verification, internal approval, applicable tax deduction, reporting and other legal requirements.
  • Eligible referral rewards will be processed through an EDL-approved payout mechanism. The Member may be required to provide KYC, tax, banking or other reasonable documentation required for compliant processing.
  • The Member is responsible for providing accurate payment, tax and identification information where required for processing.
  • If the underlying booking or transaction is cancelled, any benefit already paid or adjusted may be recovered, adjusted, withheld or set off against any amount otherwise payable or refundable, including an applicable forfeiture amount.
  • A referral submission does not guarantee validation, booking, conversion or reward eligibility. Once all published eligibility and completion conditions are met, the applicable approved benefit will be processed in accordance with these Terms.
8. Lifestyle Rewards and the Xoxoday Reward Store
  • EDL may, from time to time, provide Members with Lifestyle Rewards or access to a reward catalogue powered or fulfilled through Xoxoday.
  • Xoxoday provides reward-store technology and fulfilment services for EDL. Xoxoday does not own or administer Embassy Priority and is not authorised to use Embassy Priority Member data for its own marketing or unrelated purposes.
  • Available brands, categories, denominations, point values, redemption methods and validity periods may change. The details displayed at the time of redemption will apply to that transaction.
  • Lifestyle Reward points, codes, links, vouchers and gift cards have no cash value, are non-transferable and cannot be exchanged for cash, refunded or re-credited after redemption except where expressly stated or required by law.
  • Each reward may also be subject to the issuer’s or merchant’s terms, including validity, permitted locations or channels, exclusions and usage restrictions. Members should review those terms before confirming redemption.
  • EDL remains the Programme owner and point of escalation for Programme-related concerns. Xoxoday and the relevant issuer or merchant are responsible for the technology, issuance or fulfilment components assigned to them under their respective arrangements. EDL makes no representation or warranty regarding the quality, merchantability, suitability or availability of any third-party product, service or reward.
  • EDL may substitute an unavailable reward with an equivalent option or restore the applicable points where fulfilment fails for reasons not attributable to the Member, subject to verification and the applicable partner arrangement.
9. Curated Offers, Events and Experiences
  • Offers, events and experiences may be made available by EDL, an Embassy group company or an authorised partner and may have separate eligibility, capacity, validity, booking and cancellation conditions.
  • Availability may be limited and is not guaranteed merely by Programme membership. Where a benefit is withdrawn or materially changed before use, EDL will endeavour to provide reasonable notice through the website, application or relevant communication channel. EDL may cancel, postpone, substitute or modify any offer, event or experience at any time without liability where reasonably necessary.
  • Unless expressly stated, offers cannot be combined with other promotions and are not exchangeable for cash.
10. Member Responsibilities and Prohibited Conduct
  • Provide complete, current and accurate information and use the Programme only for lawful, personal purposes.
  • Do not create duplicate or fictitious referrals, misrepresent a relationship, submit personal data without authority, interfere with another Member’s account, manipulate reward eligibility or misuse a reward.
  • Do not reproduce, sell, transfer or commercially exploit Programme access, content, offers, points, codes or benefits unless expressly permitted.
  • EDL may reject a transaction, withhold or reverse a benefit, suspend membership and recover loss where fraud, abuse, misrepresentation, duplication, cancellation or material breach is established after reasonable review.
  • The member will indemnify and hold EDL harmless against any loss, damage, cost, expense (including reasonable legal fees), liability or claim arising from the Member’s breach of these Terms, fraudulent conduct, or provision of inaccurate or misleading information. 
11. Personal Data and Programme Partners

EDL owns and administers the Programme and determines the purposes for which Member data is processed. EDL may use authorised technology, communication, payment, reward-fulfilment and support providers solely to operate the Programme, subject to contractual confidentiality, security, purpose-limitation and data-protection obligations.

EDL will not provide the Embassy Priority Member database to a reward merchant or partner for that partner’s independent marketing. Where a Member actively selects a reward or offer, only the minimum information reasonably required to validate or fulfil that selection may be shared with Xoxoday, the relevant issuer or merchant. Where direct disclosure to a merchant is necessary, the Member will be informed through the applicable redemption journey or terms before confirmation.

Authorised service providers may receive only the information reasonably required for their assigned Programme function and may process it only for that purpose. They may not sell it, use it for unrelated solicitation, profiling or advertising, train independent artificial-intelligence models on it, or retain it beyond the applicable purpose and contractual retention period, except where required by law.

Personal data will otherwise be processed in accordance with the Embassy Privacy Policy published on the Embassy Priority website and applicable data-protection law, including the Digital Personal Data Protection Act, 2023 and rules made thereunder. Where a third-party redemption environment is used, that provider’s privacy notice may additionally apply to data the Member provides directly in that environment.

12. Communications and Preferences
  • EDL may send transactional, service, security, eligibility, referral-status, reward and account communications required to operate the Programme.
  • Promotional communications will be sent in accordance with applicable law, recorded preferences and valid consent requirements. Members may manage preferences or opt out using the method provided in a communication or by contacting EDL.
  • Opting out of promotional communication will not prevent essential service or transaction-related messages. Withdrawal of optional consent may limit features that require the relevant processing.
13. Digital Access and Third-Party Services
  • EDL will use reasonable efforts to maintain its website, application and digital Programme services but does not guarantee uninterrupted or error-free availability. Maintenance, security events, network failures or third-party service interruptions may temporarily affect access. EDL shall not be liable for any interruption arising from cyber incidents, malware, denial-of-service attacks, internet failures or other events beyond reasonable control.
  • Links or integrations may lead to third-party environments. Their separate terms apply to the service they provide, but do not alter EDL’s obligations as owner of Embassy Priority.
  • Members should promptly report a failed redemption, suspected unauthorised transaction or material error so that EDL and the relevant provider can investigate.
14. Intellectual Property

All Embassy Priority names, marks, designs, content, software interfaces and materials are owned by or licensed to EDL. No right is granted except the limited, revocable right to access and use the Programme for its intended personal purpose. Third-party marks remain the property of their respective owners.

15. Limitation of Liability

To the maximum extent permitted by law, EDL will not be liable for indirect, incidental, special or consequential loss arising from participation in the Programme or use of its digital services. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, or affects a Member’s mandatory rights under applicable law. Subject to the foregoing, EDL’s aggregate liability to a Member  arising out or in connection with the Programme will not exceed the value of the specific benefit, reward or property value percentage in dispute.  EDL shall not be liable for any loss of profits, loss of business opportunity, loss of goodwill, expectation loss, punitive damages or any other indirect or consequential loss.

EDL is not responsible for a Member’s failure to follow a merchant’s disclosed voucher terms, loss caused by sharing an OTP or credential, or an event outside EDL’s reasonable control. Responsibility for a verified technology, issuance or merchant-fulfilment failure will be addressed in accordance with Section 8 and the applicable provider arrangement.

16. Suspension, Closure and Termination
  • A Member may request account closure by contacting EDL. Closure may prevent access to unredeemed Lifestyle Rewards, subject to any validity or redemption window communicated at that time.
  • EDL may suspend or terminate membership for fraud, abuse, ineligibility, legal or security reasons, or material breach of these Terms.
  • On termination of the Programme or a material change to the Reward Store, EDL will provide reasonable notice and, where practicable, a reasonable window to use valid accrued Lifestyle Rewards. This does not apply to rewards obtained through fraud, error or breach, or where immediate action is required by law or security considerations.
17. Changes to the Programme or these Terms

EDL may amend these Terms, benefit structures or Programme features prospectively to reflect business, operational, legal, regulatory or partner changes. Material changes will be communicated through the website, application or another appropriate channel and will state their effective date.

Unless required by law, or arising from fraud, error, cancellation or ineligibility, a prospective amendment will not reduce a percentage benefit that had already become payable after all applicable conditions were satisfied before the amendment took effect. Continued use after the effective date constitutes acceptance of the revised Terms.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. The parties will first attempt in good faith to resolve any concern through the Embassy Priority support channel. Subject to applicable mandatory law, the courts at Bengaluru, Karnataka will have exclusive jurisdiction.

19. General
  • If any provision is held invalid or unenforceable, the remaining provisions will continue in effect.
  • A delay in enforcing a right is not a waiver of that right.
  • These Terms, the Embassy Privacy Policy and the applicable project-, reward-, offer- or event-specific terms constitute the relevant agreement for participation in Embassy Priority. In case of conflict, a specific term disclosed for a transaction governs that transaction, while these Terms govern overall Programme participation.
  • Headings are for convenience and do not affect interpretation.
  • EDL shall not be liable for any delay or failure in performing its obligations under the Programme arising from any event beyond its reasonable control, including acts of God, natural disasters, epidemic, pandemic, governmental action, labour unrest, utility failure, cyber incident or failure of third-party systems or services.
